Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Spray Files website, software, applications, and related services (collectively, the "Service").

By creating an account, accessing, or using the Service, you agree to be bound by these Terms.

Eligibility

You must be at least 18 years old and capable of entering into legally binding agreements to use the Service.

Accounts

• Users are responsible for maintaining the confidentiality of account credentials.
• You are responsible for all activity occurring under your account.
• You must provide accurate and complete information when creating an account.

Subscription Plans

Spray Files offers subscription-based access to the Service. Current subscription options include:

• Monthly Plan: $15 per month
• Annual Plan: $150 per year

Prices may be modified in the future upon notice to users.

Free Trial

New users may receive a fourteen (14) day free trial. A valid payment method may be required to start a trial. Unless canceled before the trial period ends, the applicable subscription fee will automatically be charged and the subscription will begin.

Billing and Renewal

Subscriptions automatically renew until canceled. By subscribing, you authorize Spray Files and its payment processor to charge your payment method for all applicable fees and taxes. Users may switch between available subscription plans.

Cancellation

Users may cancel their subscription at any time. Cancellation will prevent future billing but will not result in a refund of previously paid fees. Access to the Service will continue until the end of the current billing period.

Refunds

All subscription fees are non-refundable. Users are encouraged to evaluate the Service during the free trial period before purchasing a subscription. Spray Files may, in its sole discretion, provide refunds on a case-by-case basis.

User Data

Users retain ownership of the field records, acreage information, application records, chemical information, and other data entered into the Service. By using the Service, you grant Spray Files the limited rights necessary to store, process, display, and transmit your data for the purpose of providing the Service.

Recordkeeping and Calculations

Spray Files is a recordkeeping and calculation assistance tool. All calculations, reports, recommendations, summaries, and outputs are generated from information entered by users. Users are solely responsible for:

• Verifying all calculations
• Verifying acreage figures
• Verifying tank mix quantities
• Verifying application rates
• Reviewing generated reports
• Maintaining required records
• Ensuring compliance with applicable laws and regulations

Incorrect user inputs may result in incorrect outputs.

Agricultural Product Labels

Pesticide, herbicide, fungicide, insecticide, fertilizer, adjuvant, and other agricultural product labels are legal documents. Product labels always take precedence over any information, report, recommendation, estimate, calculation, or output generated by the Service. Users must independently review and follow all applicable product labels.

No Professional Advice

The Service does not provide agronomic, crop consulting, legal, regulatory, environmental, accounting, tax, or other professional advice. Any information provided through the Service is for informational purposes only.

Acceptable Use

Users may not:

• Share account access outside their organization
• Resell or sublicense access to the Service
• Reverse engineer, decompile, or attempt to copy the Service
• Use the Service for unlawful purposes
• Attempt to interfere with the operation or security of the Service

Suspension and Termination

Spray Files may suspend or terminate access to the Service at any time if a user violates these Terms. Accounts with failed or unpaid subscription charges may be suspended immediately.

Data Retention

Spray Files may retain user data following cancellation or termination of an account. However, Spray Files does not guarantee indefinite retention or availability of user data after account termination. Users are encouraged to maintain copies of important records.

Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." SPRAY FILES DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, NON-INFRINGEMENT, AND AVAILABILITY. SPRAY FILES DOES NOT GUARANTEE THAT THE SERVICE WILL BE ERROR-FREE, UNINTERRUPTED, OR FREE FROM DEFECTS.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SPRAY FILES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES. THIS INCLUDES DAMAGES RELATED TO:

• Crop loss
• Application errors
• Regulatory penalties
• Lost profits
• Business interruption
• Data loss
• Reliance on calculations or reports

IN NO EVENT SHALL SPRAY FILES' TOTAL LIABILITY EXCEED THE TOTAL AMOUNT PAID BY THE USER TO SPRAY FILES DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

Governing Law

These Terms shall be governed by and interpreted under the laws of the State of Minnesota, without regard to conflict of law principles.

Changes to These Terms

Spray Files may modify these Terms at any time. Updated Terms will be posted on the website with a revised effective date. Continued use of the Service after changes become effective constitutes acceptance of the updated Terms.
